Welcome to Ceramik. By using our app, you agree to these Terms of Service.

1Acceptance of Terms

By accessing or using Ceramik, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use the app.

2Age Requirements

To use Ceramik, you must meet the minimum age requirements established by the app store from which you downloaded the application. Please check the age requirements on the Apple App Store or Google Play Store for your region. If you are a minor and wish to use Ceramik, you must have your parent or legal guardian's permission and supervision. Teachers and organization administrators are responsible for ensuring appropriate consent is obtained for minor students.

3Description of Service

Ceramik is a platform that helps pottery teachers manage their studios, classes, and students. The app provides features including: • Class scheduling and attendance tracking • Student management • Journal entries for tracking pottery progress • Community features (posts, comments) • Invoice and charge creation, including PIX payments in Brazil through integrated providers • Grouping PIX charges by student for monthly invoice generation • Subscription plans for premium features

4Subscriptions and In-App Purchases

For subscriptions purchased through the Apple App Store or Google Play Store, the following applies: • Payment will be charged to your App Store or Google Play account at confirmation of purchase • Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current period • Your account will be charged for renewal within 24 hours prior to the end of the current period • You can manage and cancel your subscriptions by going to your account settings on the App Store or Google Play after purchase • Any unused portion of a free trial period will be forfeited when you purchase a subscription For complete terms regarding App Store purchases, please refer to Apple's Standard EULA at https://www.apple.com/legal/internet-services/itunes/dev/stdeula/

5Payment Services, PIX, and Intermediation

Availability: Payment features are available depending on country, provider, and organization enablement. PIX/OpenPix/Woovi features are initially available to selected organizations in Brazil. Ceramik's role: Ceramik, operated by WRS Tecnologia, is a technology and intermediation platform that helps create invoices, PIX charges, and payouts among students, teachers, studios, and payment providers. Unless a specific written agreement says otherwise, Ceramik is not the provider of the classes, workshops, memberships, products, or services sold by a teacher or studio to a student, and is not a party to the consumer relationship between them. How PIX charges work: When a teacher or studio uses PIX, the charge may be created through a third-party provider such as OpenPix/Woovi. The student may see WRS Tecnologia, Ceramik, or the payment provider on the charge, receipt, or bank statement, but this does not change Ceramik's intermediation role. The amount received may be divided by split, subaccount, or payout: the portion belonging to the teacher or studio is directed to the indicated subaccount or bank account, and Ceramik retains only its platform fee or contracted compensation. Platform fee: Ceramik may charge a platform fee on processed payments. The applicable fee will be shown in the app, commercial plan, proposal, or contract. Between the parties, amounts belonging to the teacher or studio that pass through a payment account, Woovi/OpenPix balance, or Ceramik operational flow are treated as third-party amounts to be paid out, not as Ceramik compensation, provided the operation is properly characterized and documented. Grouped charges: When grouping charges by customer is enabled, manual PIX charges may be queued and included in a grouped monthly invoice instead of being sent immediately to the student. The administrator may remove queued items before the grouped invoice is generated. Teacher/studio responsibilities: The teacher or studio is responsible for setting prices, providing the service to the student, issuing invoices or receipts when applicable, complying with tax, accounting, and regulatory obligations, and handling refunds, cancellations, chargebacks, and disputes with their students. Student responsibilities: The student is responsible for paying legitimate charges for services contracted directly with their teacher or studio and for handling questions, cancellations, or refunds directly with that teacher or studio. Third-party providers: By using payment features, you are also subject to the terms, policies, identity checks, anti-fraud rules, limits, and availability of integrated payment providers, including OpenPix/Woovi, Stripe, and participating financial institutions.

6Payouts, subaccounts, and third-party funds

Payouts may occur through subaccounts, payment splits, payment-provider balances, or bank transfers, depending on the available provider and organization configuration. For PIX charges with split, the student's payment may settle into a payment account associated with Ceramik/WRS Tecnologia before it is divided. When the operation is configured as intermediation, the teacher or studio portion is a third-party amount to be paid out. Ceramik does not acquire economic ownership of that portion and acts operationally to facilitate receipt, reconciliation, grouped charging, and payout. The teacher or studio must keep accurate banking and registration data, complete identity or business checks when requested, monitor their balance, and review statements. Payouts may be delayed, blocked, discounted, or reversed due to anti-fraud review, banking failures, provider unavailability, disputes, refunds, suspected fraud, legal orders, or inconsistent registration data. Ceramik may retain charge, split, subaccount, transaction identifier, receipt, and payout report records for reconciliation, audit, support, security, legal compliance, and legal defense. Currency: Unless the app or provider indicates otherwise, PIX payments and payouts in Brazil are made in BRL (Brazilian Real).

7Third-Party Services

Ceramik integrates with and may contain links to third-party services, including but not limited to OpenPix/Woovi, Stripe, financial institutions, Apple App Store, and Google Play Store. We are not responsible for the content, privacy policies, availability, identity reviews, limits, fees, or practices of any third-party services. Your use of third-party services is at your own risk and subject to the terms and conditions of those services. We do not endorse, warrant, or guarantee any third-party services, and we shall not be liable for any damages or losses caused by your use of or reliance on such services.

8User Accounts

Account Creation: You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials. Account Types: • Teachers/Administrators: Can create and manage organizations, classes, and students • Students: Can join organizations, track attendance, and make payments Account Termination: We reserve the right to suspend or terminate accounts that violate these terms or engage in fraudulent activity.

9User Content

Ownership: You retain ownership of content you create (journal entries, posts, photos). By posting content, you grant Ceramik a non-exclusive license to display it within the app. Prohibited Content: You agree not to post content that is: • Illegal, harmful, or offensive • Infringing on intellectual property rights • Spam or misleading • Violating others' privacy Organization Content Responsibility: Teachers and administrators are responsible for monitoring and moderating all content posted within their organization's feed, including posts and comments from students. Ceramik is not responsible for user-generated content within organizations. Organization administrators have the ability to remove inappropriate content and should do so promptly when violations occur.

10Intellectual Property

The Ceramik name, logo, app design, user interface, graphics, and all related trademarks, service marks, and trade names are the exclusive property of Ceramik and its licensors. You may not copy, modify, distribute, sell, or lease any part of our services or included software, nor may you reverse engineer or attempt to extract the source code of that software, unless laws prohibit those restrictions or you have our written permission. All rights not expressly granted in these Terms are reserved by Ceramik.

11Account Data and Deletion

When you delete your account, we will delete or anonymize your personal information within 30 days, unless we are required to retain certain information for legal or legitimate business purposes. Some information may be retained in our backups for a limited period. Content you shared in community features may remain visible even after account deletion, but will no longer be associated with your identity. Organization administrators should export any necessary data before deleting their organization, as this action is irreversible.

12Privacy

Your use of Ceramik is also governed by our Privacy Policy, which describes how we collect, use, share, and protect your information, including payment, PIX, subaccount, split, and payout data processed by integrated providers such as OpenPix/Woovi and Stripe.

13Disclaimers

Service Availability: Ceramik is provided "as is" without warranties of any kind. We do not guarantee uninterrupted or error-free service. Payment Processing: While we use payment providers to process charges securely, we are not responsible for: • Errors, delays, unavailability, or rejections by OpenPix/Woovi, Stripe, banks, PSPs, payment networks, or PIX systems • Issues with banks, card issuers, Pix keys, bank accounts, subaccounts, or registration data provided by users • Fees, blocks, holds, anti-fraud reviews, chargebacks, refunds, or reversals applied by providers or financial institutions • Commercial, tax, or consumer disputes between teachers, studios, and students

14Force Majeure

Ceramik shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: • Natural disasters, acts of God, or severe weather events • War, terrorism, riots, or civil unrest • Government actions, laws, or regulations • Internet or telecommunications failures • Power outages or infrastructure failures • Pandemics or public health emergencies In such events, our obligations will be suspended for the duration of the event, and we will make reasonable efforts to resume service as soon as possible.

15Limitation of Liability

To the maximum extent permitted by law, Ceramik shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the app or payment services.

16Indemnification

You agree to indemnify, defend, and hold harmless Ceramik, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from: • Your use or misuse of the app • Your violation of these Terms • Your violation of any third-party rights, including intellectual property or privacy rights • Any content you submit, post, or transmit through the app • Your interactions with other users, including payment disputes with teachers or students • Your tax, accounting, regulatory, commercial, invoice or receipt issuance obligations, and the delivery of services sold to students • Misuse of charges, invoices, PIX, subaccounts, splits, or payouts

17Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable.

18Entire Agreement

These Terms of Service, together with our Privacy Policy and any other legal notices or agreements published by Ceramik, constitute the entire agreement between you and Ceramik concerning your use of the app. These Terms supersede any prior agreements or understandings, whether written or oral, relating to the subject matter of these Terms.

19Changes to Terms

We may update these Terms of Service from time to time. We will notify users of significant changes through the app or via email.
